HCL Technologies has appointed Jacob Christian Dahl as an Independent Director for a term of five years effective July 13, 2026. The appointment strengthens the company's board governance with the addition of a leader possessing nearly four decades of experience in banking and financial services. The Board of Directors approved the appointment in its meeting held on July 13, 2026, and the decision was recommended by the Nomination and Remuneration Committee.

Jacob Christian Dahl will hold office as an Independent Director from July 13, 2026, to July 12, 2031. The approval of shareholders for his appointment is required and will be sought in the ensuing Annual General Meeting of the company. Additionally, he has been co-opted as a member of the Nomination and Remuneration Committee effective July 31, 2026.

Profile of the New Director

Jacob Christian Dahl, aged 62 years, is a seasoned banking and financial services leader. He currently serves as an Independent Director of Danske Bank, a leading banking group in the Nordic region, where he chairs the Board's Remuneration Committee and serves as a member of the Risk & Compliance Committee.

Prior to his role at Danske Bank, Dahl spent over 25 years at McKinsey & Company as a Senior Partner. He held global leadership roles, including Co-Leader of the Global Banking Practice and Leader of the Asia Banking Practice. He also led McKinsey's Financial Services practices across Africa, the Middle East, and Europe, advising institutions on strategy, business transformation, and regulatory matters. He holds an M.Sc. degree in Economics from the University of Copenhagen, Denmark.

The company confirmed that Mr. Dahl is not related to any director of HCL Technologies and is not debarred from holding the office of director by SEBI, the Ministry of Corporate Affairs, or any other statutory authority.

HCLFoundation signed a Memorandum of Understanding (MoU) with the Urban Development Department, Government of Uttar Pradesh, on July 9, 2026, to advance sustainable waste management practices in Hardoi, Prayagraj, and Agra. This partnership aligns with the Swachh Bharat Mission and aims to improve urban sanitation through strategic planning, pilot projects, policy reforms, and IT-enabled solutions. The collaboration leverages institutional strength and implementation expertise to accelerate urban transformation in these cities.

As part of the My Clean City program, HCLFoundation donated 10 E-drain carts and 10 E-garbage loaders to the Hardoi Nagar Palika Parishad. Three reverse vending machines were unveiled, and city beautification efforts through wall art have been undertaken. The Foundation plans to develop three markets and three wards in Hardoi as model markets and model wards.

The My Clean City program, launched in 2018, has significantly impacted urban sanitation in Noida and Greater Noida. To date, the program has sensitized nearly 750,000 citizens on positive waste behavior and trained over 100,000 stakeholders in waste management practices. More than 22,000 tons of waste have been managed, and over 3,500 school students have been engaged through the MCC Waste Champions Club.
