Acquisitions Details

The board approved the acquisition of majority stakes in two UAE entities to expand its FMCG distribution footprint in the Middle East and Africa.

Cash & Carry Middle East FZCO

CCME Global will acquire more than 50% of Cash & Carry Middle East FZCO (CCME UAE), a Dubai-based FMCG trading company. The transaction involves:

  • Acquisition of 45% stake via share swap for ₹112.73 crore.
  • Acquisition of an additional 6% stake via cash consideration up to ₹15 crore.
  • Total cost of acquisition: ₹127.73 crore.

This is a related-party transaction as promoters Mr. Padmanaban Krishnamoorthy and Ms. V Varalakshmi hold 80% and 20% stakes in CCME UAE, respectively. CCME UAE reported a turnover of AED 6.9 crore and net profit of AED 43.9 lakh as on June 30, 2026.

Interlink Distribution LLC

The company will acquire a 52% stake in Interlink Distribution LLC, a Sharjah-based distributor serving markets across the Middle East, Africa, UK, and US. The entire consideration of ₹20.34 crore will be paid via share swap. This is not a related-party transaction.

Share Capital Sub-Division

The board approved the sub-division of one equity share of face value ₹10 into ten equity shares of face value ₹1 each. This move aims to enhance liquidity and make shares more affordable for small investors. Post-split, the authorised share capital will remain ₹200 crore, with issued and paid-up capital at ₹196.32 crore (post-allotment).

Dividend Payment Update

In compliance with SEBI regulations effective from April 1, 2024, dividend payments to shareholders holding shares in physical mode will only be made via electronic transfer. Such shareholders must furnish their PAN, postal address with PIN, mobile number, bank account details, and specimen signature to the Company or its Registrar and Transfer Agent to receive dividends.
