Yatra Online has scheduled its 20th Annual General Meeting (AGM) for Tuesday, September 15, 2026. The meeting will take place at 4:30 pm via video conference or other audio-visual means, without physical presence of members.

The company is convening the AGM in compliance with Regulations 30 and 34 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015. The Annual Report for FY26 and the notice are available on the company website.

Voting Details

Members can cast their votes using the remote e-voting facility provided by the National Securities Depository Limited (NSDL). The voting window opens at 9:00 am on Friday, September 11, 2026, and closes at 5:00 pm on Monday, September 14, 2026.

The cut-off date for determining eligibility to vote is Tuesday, September 8, 2026. Shareholders whose names appear on the register of members as of this date will be eligible to participate.

Yatra Online disclosed total energy consumption from non-renewable sources at 4,752.23 GJ, an increase from 4,174.26 GJ in FY25. This rise drove an increase in energy intensity per rupee of turnover to 7.48 GJ/INR Crore, compared to 6.88 GJ/INR Crore in the prior year.

Greenhouse gas emissions totaled 868.56 tCO2e, comprising 141.40 tCO2e from Scope 1 and 727.16 tCO2e from Scope 2 sources. Water withdrawal was recorded at 536.40 kilolitres, entirely sourced from third parties. The company recycled 0.86 metric tonnes of e-waste.

What the Numbers Show

A significant divergence exists between revenue scale and related-party financial exposure. While purchases from related parties dropped sharply to 2.36% of total purchases (from 31.44% in FY25) due to a shift to standalone reporting, loans and advances to related parties accounted for 100% of total loans and advances. This indicates that while operational procurement is largely independent, the company’s lending activity remains entirely concentrated within its group entities.
