Sudarshan Chemical Industries has signed a definitive agreement to acquire an aluminium dyes manufacturing plant in Muttenz, Switzerland, from Clariant Additives (Switzerland) AG. The transaction involves a base price of CHF 7 million, plus the value of inventory as determined under the Asset Sale and Transfer Agreement.

The deal was executed on August 24, 2026, by Sudarshan Switzerland SLO AG, a step-down wholly-owned subsidiary of the company. Previously known as Heubach Colorants Switzerland AG, the subsidiary will take ownership of the facility that has long produced Sudarshan’s aluminium dyes portfolio. Completion is expected on or around January 4, 2027.

Transaction Details

The acquisition converts an existing supply relationship into direct asset ownership. The Muttenz plant manufactures key brands including Sanodal®, Sanodure®, Sanodye®, and Anodal®. These products serve as colorants for anodized aluminium used in automotive components, consumer electronics, packaging, and industrial parts.

Particulars Details
Seller Clariant Additives (Switzerland) AG
Buyer Sudarshan Switzerland SLO AG
Consideration CHF 7 million base price + inventory value
Location Muttenz, Switzerland
Expected Closing On or around January 4, 2027
Status Subject to conditions precedent

The consideration will be discharged in the manner defined in the agreement, subject to the fulfilment of specified conditions precedent. The transaction is classified as international and does not involve any related-party interests.

Strategic Rationale

Aluminium dyes provide color and durability to finished surfaces across global markets. By acquiring the production assets directly, Sudarshan aims to secure control over its supply chain for these critical materials. The company supplies this segment worldwide through regional partners.

The Muttenz facility produces organic intermediates and runs multistep organic chemistry of a complexity that few sites can operate reliably. It has manufactured the Aluminium Dye portfolio for Sandoz, Clariant and now Sudarshan for decades. The plant's existing workforce, comprising permanent and agency-engaged personnel, will continue at the site.

Rajesh Rathi, Chairman and Managing Director, Sudarshan Chemical Industries Limited, stated that owning the site allows the company to control the process and capacity, enabling planning for the next generation of products on its own timetable. Dr. Klaus-Dieter Baumgart, Global Chief Technology Officer, noted that the capability sits with the people who operate it, and the priority is to keep both intact with same processes and specifications.

Angela Cackovich, BU President Adsorbents & Additives, Clariant International Ltd., said transferring these assets to Sudarshan is the right outcome for the facility and its employees.

This intimation was filed in compliance with Regulation 30(6) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
