Board Meeting Details
The board meeting commenced at 2:00 pm and concluded at 4:00 pm at the corporate office in Bangalore. In addition to approving the results and dividend, the directors addressed several procedural matters:
- Took note of the Secretarial Audit Report for the Financial Year 2025-26 issued by Mr. Pramil Dev, a practicing Company Secretary.
- Appointed Mr. Pramil Dev as the scrutinizer for the e-voting process for the 21st AGM.

Director Re-appointment and Remuneration
The AGM notice includes special business items regarding the re-appointment and remuneration of key directors. The company seeks shareholder approval for the following:
Re-appointment of Mr. Liam Norman Timms
Mr. Liam Norman Timms (DIN: 06453032), Whole Time Director, retires by rotation and offers himself for re-appointment. He has served on the board since January 19, 2013, and holds 61,002 equity shares as of March 31, 2026. His expertise includes international business, brand expansion, and digital transformation initiatives.
Remuneration Approvals
The shareholders are asked to approve remuneration for two directors effective April 1, 2026:
- Mr. Liam Norman Timms: Proposed monthly remuneration of ₹1,42,000, including allowances and perquisites. This is subject to the limits prescribed under Section 197 of the Companies Act, 2013. For FY26, his total remuneration was ₹15.6 lakh, while the proposed amount for FY27 is ₹17.04 lakh.
- Mr. Pradosh Dhanraj: Proposed monthly remuneration of ₹75,500 plus a travel allowance of ₹6,000. As an Executive Director who is neither a Managing Director nor a Whole-time Director, his remuneration is subject to applicable limits under Section 197.
The explanatory statement notes that since the company's profits were inadequate for managerial remuneration in FY26, previous approvals were made under Schedule V of the Companies Act, 2013.
Dividend and Tax Deduction
The final dividend of ₹4 per equity share represents a 40% payout on the face value of ₹10. The dividend is taxable in the hands of shareholders. The company will deduct tax at source (TDS) at applicable rates:
- Resident Shareholders with PAN: 10% TDS if aggregate dividend exceeds ₹10,000.
- Without PAN/Invalid PAN: 20% TDS.
- Non-Resident Shareholders: 20% plus surcharge and cess, or beneficial tax treaty rate if documents are submitted.
Dividend payments will be made electronically within 30 days of the AGM. Shareholders holding physical shares must update KYC details to receive dividends.
E-Voting Process
Remote e-voting will be facilitated by Central Depository Services (India) Limited (CDSL). The voting window opens on September 22, 2026, at 9:00 am and closes on September 24, 2026, at 5:00 pm. Shareholders can vote via their demat accounts or through the CDSL e-voting portal. Those who vote remotely cannot vote again at the physical AGM.
