Neptune Logitek Ltd has disclosed a delay in the submission of its audited financial results for the half-year and year ended March 31, 2026. The company attributed the postponement to unforeseen medical issues faced by CA Mukesh Bafna, an Independent Director and the Chairman of the Audit Committee. His inability to attend the scheduled meetings necessitated a revision of the approval timeline to ensure proper oversight.

The financial results were initially required to be submitted on or before May 30, 2026, in accordance with Para B of Section III-A of Chapter III of SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/2023/120 dated July 11, 2023, read with Regulation 33 of SEBI (LODR) Regulations, 2015. However, the Audit Committee decided to defer the consideration of the results, citing the importance of the Independent Director's participation in the review process.

Consequently, the Board of Directors rescheduled the meeting originally set for May 30, 2026, to June 6, 2026, for the consideration and approval of the financial results. The company stated that it had duly intimated the stock exchange regarding the adjournment of the Board meeting within the prescribed timelines.

Neptune Logitek reaffirmed its commitment to compliance with all applicable provisions of the SEBI (LODR) Regulation, 2015, and other regulatory requirements. The submission was made by Ankit Devidas Shah, Managing Director of the company.

Neptune Logitek reported a 5.7% decline in net profit to ₹6.29 crore for the financial year ended March 31, 2026, as revenue from operations decreased by 9.1% to ₹233.71 crore. The company's multimodal transportation and export logistics business experienced a significant slowdown during the latter part of the financial year, particularly in March 2026, due to geopolitical tensions and war-like situations in the Middle East region. This resulted in the cancellation and deferment of customer bookings, reduced cargo movement, and pressure on margins.

The Board of Directors at its meeting held on June 06, 2026, approved the audited financial results for the half year and financial year ended March 31, 2026. The statutory auditors, J. S. Maheshwari & Co., issued an audit report with an unmodified opinion on the standalone financial results. The results were prepared in accordance with Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and the applicable accounting standards prescribed under Section 133 of the Companies Act, 2013.

Total expenses for the financial year stood at ₹225.39 crore, a decrease from ₹247.60 crore in the previous year. Profit before tax for the year was ₹9.95 crore, compared to ₹9.84 crore in the prior year. The company reported an exceptional item loss of ₹0.13 crore for the current year, compared to a gain of ₹3.31 crore in the previous year. Earnings per share (EPS) for the year declined to ₹4.59 from ₹6.67 in the previous year.

The company had raised ₹4,662 lakh through an Initial Public Offering in December 2025. As of March 31, 2026, the company had utilized ₹4,655.15 lakh of the proceeds. The funds were utilized for capital expenditure towards acquiring machinery, repayment of loans, general corporate purpose, and issue-related expenses.
