Jyot International Marketing reported a standalone profit after tax of ₹22.55 lakh for FY26, a sharp decline from the ₹87.23 lakh recorded in FY25. The Ahmedabad-based non-banking financial company (NBFC) also scheduled its 38th Annual General Meeting (AGM) for September 29, 2026, to adopt these financial results.

The company’s revenue from operations dropped significantly to ₹277.96 lakh in FY26, compared to ₹670.76 lakh in the previous year. This contraction was driven by a steep fall in interest income, which fell to ₹277.96 lakh from ₹670.76 lakh. Total expenses decreased to ₹377.07 lakh from ₹661.65 lakh, primarily due to lower finance costs of ₹221.15 lakh versus ₹509.70 lakh in FY25.

Financial Performance

On a consolidated basis, the group posted a profit after tax of ₹10.59 lakh, turning around from a loss of ₹580.26 lakh in FY25. Consolidated revenue stood at ₹277.96 lakh, identical to the standalone figure, while other income rose to ₹139.43 lakh from ₹110.70 lakh.

Metric Standalone FY26 Standalone FY25 Consolidated FY26 Consolidated FY25
Revenue from Operations ₹277.96 lakh ₹670.76 lakh ₹277.96 lakh ₹670.76 lakh
Profit Before Tax ₹34.69 lakh ₹115.05 lakh ₹22.19 lakh (₹550.29 lakh)
Profit After Tax ₹22.55 lakh ₹87.23 lakh ₹10.59 lakh (₹580.26 lakh)
EPS (Basic) ₹0.65 ₹2.79 (₹51.52) (₹18.59)

Auditor Qualifications and Tax Dispute

Statutory auditor M/s Labadiya & Mehta issued a qualified opinion on the financial statements. The auditors noted that while the group booked total interest income of ₹2.78 crore, only ₹59.06 lakh was recovered during the year. Additionally, the company failed to deposit Tax Deducted at Source (TDS) amounting to ₹59.58 lakh for FY25-26.

An emphasis of matter highlighted an Income Tax Department assessment order for FY21-22 raising a demand of ₹50.23 crore. The company has filed an appeal against this order and has not made any provision for it in its books.

AGM and Corporate Governance

The 38th AGM will convene at the registered office in Bodakdev, Ahmedabad, at 12:00 noon on September 29, 2026. Shareholders holding shares as of the cut-off date, September 22, 2026, are eligible to vote. Remote e-voting will be available via NSDL from September 26 to September 28, 2026.

The dispatch of the AGM notice and the Integrated Annual Report for FY2025-26 was completed via email on September 7, 2026. Mrs. Priti Jayesh Shah, Director and Chief Financial Officer, retires by rotation and offers herself for re-appointment. She holds no shares in the company and draws no remuneration. The Board also decided not to recommend any dividend for FY26, opting to conserve capital for future growth.
