BEML Limited announced the cessation of Shri Shivakumar HG as Executive Director (Offg.) with effect from the closing hours of August 31, 2026. The departure follows his superannuation.

The company disclosed the change in leadership pursuant to Regulation 30 read with Para A (7) of Part A to Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Shri Shivakumar HG served as ED (Offg.) - FPIIC. Savitri Ramnath Yadav, Company Secretary & Compliance Officer, signed the intimation sent to the National Stock Exchange of India Ltd. and The BSE Limited.

The Bangalore-based firm operates in defence and aerospace, mining and construction, and rail and metro sectors. It is a Schedule 'A' company under the Ministry of Defence, Government of India.

BEML Limited has appointed three new independent directors to its board, effective August 2026. The appointments include Shankar Lal Agrawal and Karunakaran Nambiar K., starting August 18, 2026, and Promila Kundara, starting August 21, 2026.

The company notified the National Stock Exchange of India Ltd. and The BSE Limited of the appointments in compliance with Regulation 30 read with Para A (7) of Part A to Schedule III of the SEBI Listing Regulations, 2015.

Board Additions

Shankar Lal Agrawal brings experience in education and social welfare. He holds a Master of Commerce degree and has served as the Founder & President of Shram Shrijan Samaj Sevi Sanstha since 2014. His work focuses on community development, skill development, and healthcare support for disadvantaged communities.

Karunakaran Nambiar K. contributes legal expertise with over 34 years of practice across civil, criminal, and family courts. He previously served as an Additional Standing Counsel for the Government of India and as a Senate Member at Kannur University. He also acts as a Legal Advisor for several major banks, including State Bank of India and Bank of Baroda.

Promila Kundara adds political and social outreach experience. A former Member of the Legislative Assembly representing the Chaksu constituency in Jaipur from 2008 to 2013, she holds a Bachelor of Arts degree and is qualified in Naturopathy. She remains active in social welfare initiatives.

Compliance Confirmation

The company confirmed that the new independent directors have no inter-se relationships among themselves or with existing directors. All three appointees have declared that they are not debarred from holding office by virtue of any order passed by SEBI or other regulatory authorities.
