The company is heavily dependent on overseas suppliers for polymers, Lithium-ion and Sodium-ion cells, and Electric Vehicle Chargers, with the top supplier accounting for 42.27% of total material purchases as of December 31, 2025. The company does not have long-term supply contracts and typically sources products monthly, exposing it to price volatility, supply disruptions, and limited negotiation power.

Risk

The company's exclusive distribution agreement with Jiangsu Highstar Battery Manufacturing Co., Ltd. is valid for only one year with automatic 6-month extension. Termination or unfavorable modification of this agreement would materially affect the company's ability to continue operations in the Sodium-ion battery segment.

The company has experienced delays in filing GST, TDS & TCS returns and statutory forms with ROC, resulting in late filing fees, interest payments, and penalties. Continued non-compliance could lead to regulatory proceedings and additional financial burdens.

Objectives

The company proposes to utilize funds for working capital requirements due to its capital-intensive nature in trading and distribution of Polymers, Petrochemicals, Lithium-ion cells, Sodium-ion cells and EV Chargers. The funds will strengthen the company's ability to meet existing demand, procure larger inventories through advance payments to suppliers, and secure additional discounts.

The company proposes to utilize funds for repayment or pre-payment, in full or in part, of certain borrowings availed by the company. This will help reduce outstanding indebtedness, debt servicing costs, assist in maintaining a favourable debt-to-equity ratio and enable utilization of additional amount from internal accruals for further investment.

The company intends to deploy funds towards general corporate purposes to drive business growth including meeting operating expenses, strengthening business development and marketing capabilities, meeting exigencies which the company may not foresee in ordinary course of business or any other purposes as approved by the Board of Directors.
