Nuvama Wealth Management Approves Subsidiary Incorporation and Key Leadership Appointment

Oct 01, 2025Nuvama Wealth Management Limited's Board approved the incorporation of a wholly owned subsidiary in India, to be named Nuvama Mutual Fund Trustee Services Limited, focused on mutual fund trustee services and other financial activities. The company will invest Rs. 50 lakh for 100% shareholding in the new entity, subject to Ministry of Corporate Affairs approval. The Board also appointed Dr. Dinesh Soni as Group Head - Compliance effective October 1, 2025. Dr. Soni brings nearly three decades of experience in governance and regulatory operations, including his role as Managing Director & CEO of NSE Administration & Supervision Ltd. Additionally, the Nomination and Remuneration Committee granted 5,000 Employee Stock Appreciation Rights to eligible employees under the company's 2024 ESAR plan, covering up to 5,000 equity shares with a 2-year exercise period from vesting date.
Nuvama Wealth Management Limited has received approval from SEBI to act as a sponsor for the proposed Nuvama Mutual Fund. The approval, granted through a letter dated October 1, 2025, enables the company to launch mutual fund schemes including specialized investment funds under SEBI (Mutual Funds) Regulations, 1996. The company had previously applied for this approval in January 2025. Final approval for mutual fund registration will be granted by SEBI subject to the company fulfilling requirements stipulated in the approval letter.
