The Bombay Stock Exchange warned investors against trading in Spright Agro Ltd shares, urging caution regarding online tips from platforms like Telegram and WhatsApp. SEBI conducted searches at the company's premises in June 2025 and is investigating alleged violations including preferential allotments, share splits, bonus issues, rights offerings, and suspicious trading between August 2023 and April 2025. The company executed multiple corporate actions including a 1:10 stock split and 1:1 bonus issue in March 2024, followed by another 1:1 bonus issue in November 2024. Spright Agro raised Rs 44.87 crore through a rights issue at Rs 13.40 per share in June 2024, with 16 of 35 original preferential allottees selling their rights for a combined profit of Rs 29.56 crore. SEBI is examining the company's dramatic financial improvement, with quarterly net profit jumping from below Rs 51 lakh to above Rs 5.5 crore starting November 2023. The company has announced plans to consider a 10:1 bonus share issue at an upcoming board meeting.
Spright Agro Ltd announced its board will meet on September 18 to consider issuing 10 bonus shares for every one share held and a 100% dividend payout. This comes while SEBI is investigating the company for possible violations related to preferential allotments, share splits, bonus issues, rights offerings, and suspicious trading between August 2023 and April 2025. The company's paid-up capital has grown almost 40 times within a year through previous stock splits and bonus issues, increasing from over 50 crore shares to over 107 crore shares. SEBI is also examining a dramatic improvement in the company's financials, with quarterly net profit jumping from below Rs 51 lakh to above Rs 5.5 crore starting November 2023. For the first quarter, Spright Agro reported revenue of Rs 62.02 crore, up 17% year-on-year, and net profit of Rs 9.15 crore, up 46% from the previous year. The company has completed agro commodity supply orders worth Rs 299 crore with various entities.
Spright Agro Limited has scheduled a Board of Directors meeting on September 18, 2025 to consider three key proposals. The board will evaluate issuing bonus shares at a ratio of 10:1 by capitalizing free reserves and/or securities premium. They will also consider declaring a dividend up to 100% on equity share capital for the current financial year. Additionally, the company will evaluate strategic entry into AgriTech businesses to complement existing agriculture operations, including precision agriculture, drone services, digital marketplace platforms, post-harvest technology, farmer service platforms, and controlled-environment agriculture. The AgriTech evaluation may involve in-house development, strategic partnerships, technology licensing, or subsidiary formation, though no binding agreements have been entered into. The trading window for company securities is closed until 48 hours after the board meeting outcome is announced.
