Minerva Ventures Fund Acquires 8.48% Stake in Elite Con International Limited2 days ago
Minerva Ventures Fund acquired 135,608,389 equity shares in Elite Con International Limited through warrant conversion on September 26, 2024. The acquisition represents 8.48% of the company's total share capital and voting rights. Elite Con International has an equity share capital of 1,598,500,000 shares with a face value of Rs. 10 each. The shares are listed on BSE Limited. Minerva Ventures Fund is not part of the promoter or promoter group of the target company.
Elitecon International reported quarterly net profit of 202 million rupees compared to 88 million rupees in the same period last year. Revenue increased significantly to 5.05 billion rupees from 791 million rupees year-over-year. EBITDA rose to 222 million rupees versus 82 million rupees in the previous year. However, EBITDA margin declined to 4.39% from 10.37% compared to the same quarter last year.

Elitecon International Limited announced its quarterly results for the quarter and six months ended September 30, 2025. The Board approved an interim dividend of Re 0.05 per equity share of Re 1 each. The record date for the interim dividend has been fixed as November 12, 2025. The company operates in two business segments - Tobacco Products and FMCG Products. During the half year, the company completed a sub-division of equity shares from Rs 10 each to Rs 1 each. The company faces regulatory challenges with GST authorities, including a Show Cause Notice from DGGI Nashik for Rs 387.43 crores covering October 2020 to October 2024, and four Show Cause Notices dated January 13, 2025, relating to refunds of Rs 22.23 crores under CGST Act 2017. Both matters remain under adjudication.
