TCC Concept Limited Reports Strong Q2 FY25 Results with 326% Revenue GrowthNov 14, 2025
TCC Concept Limited posted standalone revenue of ₹1,374.91 lakhs for Q2 FY25, up 210% from ₹428.74 lakhs in Q2 FY24, with profit after tax rising to ₹926.20 lakhs from ₹242.41 lakhs. The company's consolidated revenue reached ₹1,664.17 lakhs compared to ₹682.95 lakhs in the previous year quarter, demonstrating robust growth across its brokerage, rental and leasing segments.
TCC Concept Limited held an Extra-Ordinary General Meeting on November 5, 2025, where shareholders approved six resolutions with 100% voting in favor. Key approvals include increasing the company's authorized share capital, preferential issue of 1,18,55,560 equity shares for acquiring a 98.98% stake in Pepperfry Limited through share swap, and implementation of TCC Concept Limited Employee Stock Option Plan 2025. Other resolutions covered loan and investment limits exceeding prescribed thresholds under Section 186 of the Companies Act 2013, extending ESOP benefits to subsidiary company employees, and issuing employee stock options equal to or exceeding 1% of issued share capital. TCC Concept Limited's board approved the acquisition of 98.98% stake in Pepperfry Limited on a fully-diluted basis for Rs 661.47 crores. The acquisition includes 30,13,917 compulsory convertible preference shares and 3,50,32,475 equity shares. The consideration will be paid through a share swap, with TCC issuing 1,18,55,560 equity shares at Rs 557.94 per share to Pepperfry's shareholders. Pepperfry is India's largest omnichannel furniture and home goods e-commerce marketplace, founded in 2012, with turnover of Rs 164.18 crores in FY2025. The company operates 1,504 studios across 1,004 cities and is the holding company of three subsidiaries. The acquisition aims to strengthen TCC's presence in e-commerce and digital marketplace space, complementing its technology-driven platforms. The transaction requires shareholder and regulatory approvals and is expected to be completed by December 15, 2025.
