Swan Corp Limited appointed Mr. Saptarshi Ganguly as Company Secretary and Compliance Officer with effect from November 14, 2025, following the resignation of Mr. Bhushan Kishore Joshi from the same position. The board meeting approved Ganguly's appointment based on the Nomination Remuneration Committee's recommendation, with Ganguly bringing around 20 years of experience in secretarial and legal functions in listed entities.
Swan Corp Limited's Board of Directors approved unaudited standalone and consolidated financial results for the quarter and half year ended September 30, 2025, following Audit Committee review. The company operates across seven segments including Textile, Energy, Construction/others, Distribution & Development, Warehousing, Manufacturing and Shipyard with results reviewed by statutory auditors.
SEBI imposed a ₹2 lakh monetary penalty on Rahul Sharma, CEO of Swan LNG and designated person of Swan Corp, for insider trading violations. Sharma executed trades and contra-trades in company shares between September 1 and November 30, 2023, generating unlawful gains of ₹30.25 lakh. The transactions violated Swan Corp's insider trading code requiring pre-clearance for trades exceeding ₹10 lakh per quarter. Sharma also failed to make mandatory disclosures under SEBI's Prohibition of Insider Trading Regulations, 2015. The executive had already remitted the ₹30.25 lakh unlawful gains to SEBI's Investor Protection and Education Fund in January and February 2025. SEBI levied penalties of ₹1 lakh each under two sections of the SEBI Act, totaling ₹2 lakh, while emphasizing the importance of strict compliance with insider trading rules for senior executives in listed companies.
