Soma Textiles Industries Seeks Shareholder Approval for Multiple Related Party Transactions Worth ₹6,100 CroreToday
Soma Textiles Industries has issued a postal ballot notice seeking shareholder approval for material related party transactions totaling ₹6,100 crore, including ₹5,300 crore with Roadways Solutions India Infra Limited and several other transactions with group entities. The company also proposes to appoint new independent directors, increase borrowing powers to ₹800 crore, and explore opportunities in tyre manufacturing with investments up to ₹100 crore.
Soma Textiles Industries Limited's Board of Directors approved several key decisions during a meeting held on November 5, 2025. The company appointed Mrs. Sunita Gangadhar Jamkhande and Mrs. Archana Dheeraj Sonaikar as additional independent directors. The Board approved material related party transactions with Roadway Solutions India Infra Limited for road project execution through EPC/HAM mode and inter-corporate deposits. Additional related party transactions were approved with Vadodra-Mumbai Express Package-8, Package-9, and Mumbai-Falcon for inter-corporate deposits. Other approvals included reconstitution of Board committees following an acquisition, appointment of DSK Legal as legal adviser, increase in borrowing powers under the Companies Act 2013, and enhanced remuneration for Whole-Time Director Shri S B Bhat within his appointment terms.

Oct 15, 2025Soma Textiles & Industries Limited directors have disclosed the sale of 2,47,68,058 equity shares representing 74.98% of the company's paid-up share capital under a Share Purchase Agreement dated July 9, 2025. The buyers include Roadway Solutions India Infra Limited (Acquirer), Ameet Harjinder Gadhoke, and Teja Ranade Gadhoke for a total consideration of Rs 87,67,42,526. The selling directors include Surendra Kumar Somany, Arvind Kumar Somany, their respective HUFs, Prasann Arvindkumar Somany, and Sarvopari Investment Pvt Ltd. Surendra Kumar Somany sold 36,65,735 shares (11.10%), with 3,33,834 shares going to Roadway Solutions and 33,31,901 shares to Ameet Harjinder Gadhoke. Surendra Kumar Somany HUF sold 74,02,578 shares (4.25%) to Ameet Harjinder Gadhoke, while Sarvopari Investments sold 76,572,996 shares (49.99%) to Roadway Solutions India Infra Limited.
