Checkpoint Trends Limited issued a corrigendum to its Extra-Ordinary General Meeting notice dated October 4, 2025, providing clarifications and modifications. The EGM is scheduled for October 27, 2025 at 4:00 PM via video conferencing. The corrigendum modifies details of a preferential issue of convertible warrants worth Rs. 170 crores and a Qualified Institutions Placement (QIP) of Rs. 500 crores. Fund utilization includes buyout of Global Tabbac Legacy (Rs. 30 crores for warrants, Rs. 80 crores for QIP), working capital requirements (Rs. 97.5 crores for warrants, Rs. 295 crores for QIP), and general corporate purposes (Rs. 42.5 crores for warrants, Rs. 125 crores for QIP). The company has appointed Acuite Ratings & Research Limited as monitoring agency for both issues. The corrigendum lists 14 non-promoter allottees for the warrant issue and adjusts a price reference from Rs. 40.01 to Rs. 45.01. Funds are expected to be utilized within 12 months of receipt, with the Board having discretion to reallocate based on business requirements.
Checkpoint Trends Limited Approves Rs. 670 Crore Fundraising Through Convertible Warrants and QIP

Sep 24, 2025Checkpoint Trends Limited's Board of Directors approved two fundraising initiatives: the issuance of convertible warrants worth Rs. 170 crores on a preferential basis to 14 allottees, and equity shares through a Qualified Institutions Placement (QIP) for up to Rs. 500 crores. The convertible warrants will be allocated to non-promoter entities including Pandokhar Food LLP, Lemon Electronics Limited, and Recoll Projects Private Limited, each receiving 67.87 million warrants. Two whole-time directors, Pradeep Kumar and Shubham Chaudhary, are also among the allottees. Each warrant can be converted into one equity share within 18 months from allotment date. Both proposals require shareholder and regulatory approvals, with an Extraordinary General Meeting notice also approved by the board.
Checkpoint Trends Limited (formerly Rubra Medicaments Limited) completed a postal ballot process where shareholders voted on two key resolutions. The company sought approval for increasing authorized share capital with consequent alteration to the capital clause of the Memorandum of Association, and addition to the Object Clause of Memorandum of Association. The e-voting period ran from August 21, 2025 to September 20, 2025, with the cut-off date set as August 15, 2025. Out of 2,459 total shareholders, 83 members participated in the voting process. Both resolutions were overwhelmingly approved with 99.93% votes in favor (5,87,770 votes) and only 0.07% against (420 votes). The first resolution required an ordinary resolution while the second required a special resolution. MNB & Co. LLP served as the scrutinizer for the postal ballot process, and the results were declared on September 22, 2025.
