The changes include adoption of a new Memorandum of Association aligned with the Companies Act 2013, replacing the previous version based on the Companies Act 1956. The company altered its Main Object Clause to include real estate development activities following the acquisition of shares in Trio Infrastructure Private Limited through agreements dated December 2, 2024. New business activities added include real estate development, construction, project management services, and financial facilitation for real estate projects. The company also adopted restated Articles of Association to reflect rights and obligations arising from the shareholders' agreement related to the Trio Infrastructure acquisition.
Ironwood Education Limited promoters Balaji Raghavan, Manojshankar Tripathi, and Nitish Nagori sold 8,36,259 equity shares representing 5.55% of the company's paid-up equity share capital on September 04 and September 05, 2025. The shares were sold through BSE Limited's stock exchange mechanism. Raghavan sold 4,45,932 shares, Tripathi sold 2,86,712 shares, and Nagori sold 1,03,615 shares. Following this transaction, the Promoter and Promoter Group shareholding decreased from 82.19% to 76.64% of the company's paid-up equity share capital.

Ironwood Education Limited confirmed no deviation or variation in the utilization of funds raised through preferential issue of equity shares for the quarter ended June 30, 2025. The company raised Rs. 2,07,72,000 through preferential allotment on February 26, 2025, by issuing equity shares to public category investors. The funds were allocated for investing in future growth opportunities, business expansion, loans and investments in subsidiaries, debt repayment, working capital requirements, and general corporate purposes. The Audit Committee reviewed and noted no deviation in fund utilization during their August 2025 meeting. The company explained that proportionate differences in original and modified allocations occurred due to partial allotment of the authorized amount, but confirmed proper utilization according to stated objectives.
