Alps Industries Board to Consider 99% Share Capital Reduction and ConsolidationDec 07, 2025
Alps Industries Limited has scheduled a board meeting for December 10, 2025, to implement a resolution plan approved by NCLT Prayagraj involving a 99% reduction in equity share capital from Rs. 39.11 crore to Rs. 39.11 lakh by reducing face value from Rs. 10 to Rs. 0.10 per share. The company will also consolidate shares at a 10:1 ratio, converting shares with Rs. 0.10 face value to Rs. 1 face value, affecting all existing shareholders of the 3.91 crore outstanding equity shares.
Alps Industries Limited appointed four new directors effective December 1, 2025, including Vinod Kumar as Whole-Time Director, Sanjeev Khanna as Non-Executive Director, and Ayushi Kukreja and Sandhya Kohli as Independent Directors, following implementation of a resolution plan approved by NCLT. Six existing directors including Managing Director Sandeep Agarwal ceased to hold office pursuant to the November 4, 2025 NCLT order, marking a complete board restructuring under the corporate insolvency resolution process.
