Jul 31, 2025Sunshield Chemicals Limited's Board of Directors approved unaudited financial results for the quarter ended June 30, 2025, and made several key decisions. The company withdrew its previous draft letter of offer from September 2024 and approved a fresh rights issue to raise up to Rs. 150 crores through equity shares on a rights basis to eligible shareholders. The Board authorized a Rights Issue Committee to determine terms including issue price, entitlement ratio, record date, and timing. Additionally, the Board reconstituted three key committees - Audit Committee, Nomination and Remuneration Committee, and Stakeholders Relationship Committee - effective from October 21, 2025. Mr. Mukesh Malhotra will chair all three committees, with Mr. Cyrus Poonevala serving as a member on each. The trading window will open 48 hours after the financial results declaration.

The company's Board had previously approved raising up to ₹200 crores through a rights issue of fully paid equity shares with face value ₹10 each on August 9, 2024. The Board meeting scheduled for July 31, 2025, will consider withdrawing the original application and passing a fresh resolution for the same rights issue to benefit from the simplified regulations that make the process faster, more efficient, and cost-effective. The company clarified this is not for any additional equity share issuance but only a fresh approval for the previously announced rights issue.
