AGI Greenpac Limited announced its unaudited standalone and consolidated financial results for the second quarter and half year ended September 30, 2025. The company's consolidated revenue from operations decreased to ₹601.58 crore in Q2 from ₹687.66 crore in the previous quarter, while showing growth from ₹599.18 crore in the same quarter last year. For the half year, total revenue reached ₹1,289.24 crore compared to ₹1,165.51 crore in the previous year. Profit before tax for Q2 was ₹100.85 crore versus ₹117.79 crore in the previous quarter. The packaging products segment generated ₹596.20 crore in revenue during Q2. The company received ₹20.49 crore from insurance claims related to production facility disruption at its Hyderabad unit due to furnace crown collapse. Additionally, the company provided ₹12.22 crore against cross-subsidy surcharge demand from Telangana State Southern Power Distribution Company for the period April 2015 to June 2016, against which it has filed a writ petition. The results were approved by the Board of Directors on October 18, 2025.

Sep 30, 2025AGI Greenpac Ltd's Board of Directors approved a proposal to raise funds up to Rs. 1,500 crore through various securities including equity shares, convertible debentures, warrants, and other eligible instruments. The fundraising will be conducted through permissible modes such as private placement, preferential issue, or qualified institutions placement in one or more tranches. The board also approved alteration of the main object clause in the company's Memorandum of Association to include manufacturing and dealing in metal packaging materials, particularly aluminum cans. Additionally, the board amended the insider trading code and approved issuance of a postal ballot notice for shareholder approval. The Corporate Affairs Committee has been authorized to handle decisions related to the proposed fund raising. All proposals are subject to shareholder and regulatory approvals.
AGI Greenpac Limited has scheduled a Board of Directors meeting on September 30, 2025, to consider and evaluate a proposal for raising funds through issuance of various securities. The fund raising options include equity shares, fully or partially convertible debentures, non-convertible debentures, warrants, global depository receipts, american depository receipts, foreign currency convertible bonds, or other eligible securities. The issuance may be conducted in one or more tranches through permissible modes including private placement, preferential issue, qualified institutions placement, or other methods as deemed appropriate by the Board. The proposal is subject to statutory and regulatory approvals, including shareholder approval. The company has also closed its trading window for designated persons and their immediate relatives until further notice. The outcome of the board meeting will be communicated to stock exchanges after the meeting concludes.
