Shyamkamal Investments Limited posted a profit of ₹21.96 lakhs for the quarter ended September 30, 2025, compared to a loss of ₹18.59 lakhs in the same period last year. The Board approved an interim dividend of ₹0.10 per equity share (1% of face value), while auditors flagged concerns over ₹795.24 lakhs outstanding from a joint venture investment and lack of proper audit trail maintenance.
SEBI has approved an open offer by Morabia Enterprise Private Limited and Mahendra Harajivan Morabia, along with persons acting in concert, to acquire 1,30,94,380 equity shares representing 26% of Shyamkamal Investment Limited's fully paid-up equity share capital. The approval was granted on September 24, 2025, under the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. The persons acting in concert include Mrs. Morabia Induben Mahendra, Mr. Morabia Smit Mahendra, Mrs. Paragi Smit Morabia, Mr. Morabia Nirmal Mahendra, Mrs. Surbhi Nirmal Morabia, Ms. Keyuri Mahendra Morabia, Mr. Keval Mahendrabhai Morabia, VR Leading Edge Consultancy LLP and Morabia Creations Private Limited.
