Kemp & Company Limited shareholders approved the adoption of new Articles of Association at their 144th Annual General Meeting held on September 9, 2025. The changes incorporate provisions from a Shareholders Agreement dated July 13, 2025, between the Seller Group and Purchasers. The new articles include vote-along covenants regarding the company's shareholding in VIP Industries Limited, transfer restrictions on VIP Industries shares held by the company, non-solicitation obligations, and covenants related to appointment of company representatives. The restated Articles of Association will become effective from either the date when Tranche 1 Completion occurs or when Purchasers serve a Control Notice, whichever is earlier.

Kemp & Company Limited has appointed Mr. Prateek Diwan as an Additional Director (Non-Executive, Independent) effective August 5, 2025, for a five-year term subject to shareholder approval. Diwan brings over 17 years of investment banking experience with expertise in M&A advisory and Private Equity across metals, cement, steel, and healthcare sectors. He serves as Executive Director at Arpwood Capital Private Limited since January 2015 and has led M&A transactions worth over US$ 10 billion, including the US$ 5.3 billion Bhushan Steel acquisition by Tata Steel and the US$ 1.3 billion sale of Lafarge India to Nirma. Previously, he worked as Vice President at Kotak Investment Banking from 2007 to 2014 and received Economic Times' Young Leader recognition in 2014. Diwan is not related to any existing company directors and is not debarred from holding directorship positions.

Kemp & Company Limited reported a net loss of Rs 24.70 lakhs for the quarter ended June 30, 2025, compared to a loss of Rs 35.34 lakhs in the same quarter last year. Revenue from operations was Rs 74.63 lakhs versus Rs 71.48 lakhs in the previous year quarter. Total expenses stood at Rs 108.23 lakhs, resulting in a loss before tax of Rs 32.55 lakhs. The company's earnings per share was negative at Rs 2.29. However, other comprehensive income of Rs 4,088.70 lakhs led to total comprehensive income of Rs 4,064.00 lakhs for the quarter. The company operates in two segments - Trading Activity (Rs 22.78 lakhs revenue) and Real Estate (Rs 51.85 lakhs revenue). Kemp & Company has entered into agreements to sell up to 33,53,280 equity shares in V.I.P. Industries Limited as part of a material transaction.
