IYKOT HITECH TOOLROOM LIMITED has adopted a new set of Memorandum of Association (MOA) and Articles of Association (AOA) in accordance with the Companies Act, 2013, as approved by special resolution in the Annual General Meeting held on September 23, 2025. The company renamed clauses III (A), III (B) and IV of the MOA, with Clause III (A) covering objects to be pursued on incorporation, Clause III (B) addressing matters necessary for furtherance of those objects, and Clause IV limiting member liability to unpaid amounts on shares held. The new MOA deletes Clause III (C) relating to 'Other Objects.' The new AOA will be based on Table F of Schedule I of the Companies Act, 2013, which provides model Articles of Association for companies limited by shares.

Sep 19, 2025IYKOT HITECH TOOLROOM LIMITED's Board of Directors approved the reclassification of Electronics Corporation of Tamil Nadu Ltd (ELCOT) from 'Promoter/Other Promoter' category to 'Public' category after receiving a No-Objection Certificate from BSE Limited. The Board acknowledged a warning letter from BSE regarding non-filing of corporate announcements related to the reclassification application. An Extraordinary General Meeting has been scheduled for October 27, 2025 at 11:00 AM via video conferencing to seek shareholder approval for the reclassification. The Board also appointed M/s. Lakshmmi Subramanian & Associates as scrutinizer and proposed engaging Central Depository Services (India) Ltd. as the e-voting agency for the EGM.
IYKOT HITECH TOOLROOM LTD reported unaudited financial results for the quarter ended June 30, 2025. The company recorded a net loss of Rs 35.38 lakhs compared to a net loss of Rs 55.96 lakhs in the same quarter last year. Net sales decreased to Rs 68.43 lakhs from Rs 155.27 lakhs year-over-year. Total expenses were Rs 103.81 lakhs against total income of Rs 68.43 lakhs, resulting in an operating loss of Rs 35.38 lakhs. Basic and diluted earnings per share stood at negative Rs 0.31. The Board also approved preparations for the 34th Annual General Meeting, appointed Central Depository Services as e-voting facilitator, and designated M/S. Lakshmmi Subramanian & Associates as scrutinizer for the AGM.
