Gratex Industries Receives Full Waiver of Rs. 2,360 Fine from BSE for Annual Report Submission DelayDec 04, 2025
BSE Limited has approved Gratex Industries' waiver request for a Rs. 2,360 fine imposed for delayed submission of annual report under SEBI regulations for year ended March 31, 2025. The exchange determined that the company had submitted the annual report within the required timeframe on August 11, 2025, but under an incorrect tab, and later corrected it on August 12, 2025.
Gratex Industries Limited received a fine of Rs 2,000 (excluding GST) from BSE for one-day delayed submission of Annual Report under regulation 34 of SEBI LODR Regulations 2015 for the year ended March 31, 2025. The company submitted the annual report on August 11, 2025, but initially filed it under the wrong category path. BSE raised a query on August 12, 2025, asking the company to resubmit under the correct compliance head, which was done the same day. The Board of Directors reviewed the matter and argued that the submission was made on time with the correct content, only the filing path was different. The company filed a waiver application with BSE on November 1, 2025. BSE also identified another non-compliance regarding dividend distribution policy disclosure under regulation 43B. The exchange warned that non-payment within 15 days could result in freezing of promoter shareholdings.
