Darjeeling Ropeway Allots 70 Lakh Convertible Warrants to Non-Promoter Investors at Rs 16.80 Per Share

Sep 23, 2025Darjeeling Ropeway Company Limited's Board of Directors approved and allotted 70,00,000 convertible warrants to non-promoter category investors on a preferential basis. Each warrant is priced at Rs 16.80 per share and can be converted into one equity share within 18 months. The warrants have a face value of Rs 10 each with a premium of Rs 6.80. Upon full conversion, the company's paid-up equity share capital will increase from Rs 3.05 crore to Rs 10.05 crore, expanding total equity shares from 30.50 lakh to 1.00.50 crore shares. The allotment was made to 10 investors, with Ashok Dilipkumar Jain receiving the largest allocation of 18.60 lakh warrants. The company has received 25% consideration amounting to Rs 2.94 crore, with the remaining 75% payable upon conversion.
Darjeeling Ropeway Company Limited received in-principle approval from BSE Limited for issuing 70,00,000 warrants convertible into equity shares on a preferential basis. The warrants are convertible into 70,00,000 equity shares of Rs. 10 each at a price not less than Rs. 16.80 to non-promoters. BSE granted the approval on September 12, 2025, but clarified this does not constitute approval for listing of the securities. The order involves supplying three food commodities: 1,00,000 kg each of Moong (Whole), Math, and Mausami Chana. This is a domestic order with execution timeline to be mutually agreed between the parties. The transaction does not involve any promoter group interest and is not classified as a related party transaction.
