Arun Kumar Jain and associated promoter group entities acquired 1.07 crore warrants in Bonlon Industries Limited through preferential allotment on October 9, 2025. The warrants are fully convertible, with each warrant convertible into one equity share of Rs. 10 face value. Prior to this acquisition, the promoter group held 91.66 lakh shares representing 6.74% of voting capital. The warrants do not carry voting rights until converted to equity shares. Upon full conversion, the total diluted share capital would increase to 2.62 crore shares. The warrant holders must pay 75% of the warrant issue price (Rs. 24.75) within 18 months from allotment date for conversion. The acquisition includes warrants allocated to nine promoter group entities, with Arun Kumar Jain receiving the largest allocation of 12 lakh warrants (4.51% of diluted voting rights).
Bonlon Industries Limited reported a net profit of ₹269.05 crores for the financial year ended March 31, 2025, compared to ₹232.88 crores in the previous year. Total income increased to ₹62,341.07 crores from ₹43,157.34 crores. For the quarter ended March 31, 2025, the company posted a net profit of ₹42.65 crores versus ₹82.14 crores in the same quarter last year. The Board approved audited standalone and consolidated financial results and appointed new auditors. M/s Dabas S & Co. was appointed as Secretarial Auditors for five years, while M/s Shyam Goel & Associates was reappointed as Internal Auditors and M/s Goyal, Goyal & Associates as Cost Auditors for FY 2025-26. The company operates in the ferrous/non-ferrous metals segment.
