Onix Renewable Limited Announces Open Offer for 6.44% Stake in Onix Solar Energy at ₹264 Per Share

The offer is being made by Onix Renewable Limited along with three persons acting in concert (PACs): Divyesh Mansukhbhai Savaliya, Piyush Mansukhbhai Savaliya, and Khilan Hareshbhai Savaliya. The offer is in compliance with SEBI regulations on substantial acquisition of shares and takeovers. Grow House Wealth Management Private Limited is serving as the manager to the offer. The pre-offer advertisement and corrigendum were published on October 17, 2025 in Financial Express, Jansatta, and Mumbai Lakshadeep newspapers. The target company was formerly known as ABC Gas (International) Limited.
Onix Renewable Limited acquired 1,85,13,885 shares of Onix Solar Energy Limited through a preferential allotment on October 13, 2025. The acquisition increased Onix Renewable's shareholding from 14.29% to 91.72% of the target company's total share capital. The shares were acquired through preferential allotment with consideration other than cash. Before the acquisition, Onix Renewable held 2,82,942 shares representing 14.29% of Onix Solar Energy Limited. After the transaction, the total shareholding increased to 1,87,96,827 shares representing 91.72%. The equity share capital of Onix Solar Energy Limited increased from 19,80,000 equity shares to 2,04,93,885 equity shares of Rs.10 each following the allotment.
