Sebi imposed a Rs 2 lakh penalty on AI and digital solutions provider Sigma Solve for altering the use of proceeds from its initial public offering. The smallcap company violated Sebi rules by transferring excess money for General Corporate Purposes. Sigma Solve has delivered 971% returns since its October 2020 listing.
Sigma Solve Limited has announced October 6, 2025, as the record date for a stock split. Each existing equity share with a face value of Rs. 10 will be subdivided into 10 equity shares of Rs. 1 face value each. Shareholders registered on the record date will be eligible for the stock split.
Sigma Solve Limited held its 15th Annual General Meeting on September 17, 2025, via video conferencing with 46 shareholders attending (5 promoters and 41 public shareholders). All 12 resolutions were passed with overwhelming support. Key approvals included adoption of audited financial statements for the year ended March 31, 2025, declaration of final dividend for 2024-2025, reappointment of Mr. Nitin Pramukhlal Patel as director, and regularization of appointments for multiple directors including Mr. Prerak Parikh, Mrs. Pujan Biren Zaverchand, and four independent directors (Mr. Sharmil Gandhi, Mr. Aditya Patel, Mr. Pratik Shah, and Mr. Siddhrajsinh Gohil). Shareholders also approved a stock split subdividing each equity share of face value Rs. 10 into 10 shares of face value Rs. 1 each, alteration of the capital clause in the Memorandum of Association, and appointment of M/s. Shah & Shah Associates as secretarial auditors. The company has 13,263 total shareholders with promoter group holding 7,524,998 shares and public holding 2,752,500 shares out of total 10,277,498 shares.
