The National Company Law Tribunal has approved JTL Industries Limited's resolution plan for RCI Industries and Technologies Limited under the Corporate Insolvency Resolution Process. The plan involves infusing Rs 66.50 crores and was approved by the Committee of Creditors with 98.05% voting share. JTL Industries will acquire 95% shareholding while existing public shareholders will retain 5%. The plan provides Rs 44.15 crores to secured financial creditors against admitted claims of Rs 268.47 crores, and covers payments to workmen, employees, and operational creditors. JTL Industries, established in 1991, operates four manufacturing facilities with 9,36,000 MTPA capacity and achieved turnover of Rs 1,913 crores in FY 2024-25. The resolution plan aims to diversify business portfolio and mitigate risks through strategic acquisition outside JTL's conventional steel pipe business. Implementation must be completed within 60 days from the approval date.
RCI Industries and Technologies Limited, undergoing Corporate Insolvency Resolution Process since November 2022, reported a net loss of Rs 922.01 crores for the year ended March 31, 2024, compared to Rs 1,719.34 crores loss in the previous year. Revenue from operations declined to Rs 229.50 crores from Rs 2,301.89 crores in FY23. The company's net worth remains fully eroded at negative Rs 14,779.55 crores. Resolution Professional Brijesh Singh Bhadauriya signed the audited results, with the resolution plan by JTL Industries Limited approved by the Committee of Creditors and pending approval from NCLT. The auditors issued a qualified opinion citing multiple concerns including asset verification issues, forensic audit findings of fraudulent transactions worth Rs 369.71 crores, and ongoing regulatory investigations by various authorities including SFIO, ED, and Income Tax Department regarding alleged fake input tax credit of Rs 214 crores.
