Goldcoin Health Foods Limited has fixed November 25, 2025 as the record date to determine eligible shareholders for equity share allotment under an approved share capital reduction scheme sanctioned by NCLT Ahmedabad Bench. The company plans to list the new equity shares on BSE Limited subject to regulatory approvals.
Goldcoin Health Foods Limited has received certified copy of NCLT Ahmedabad Bench order dated October 31, 2025, approving reduction of its share capital under Section 66 of Companies Act, 2013. The company's share capital will be reduced from Rs. 3,00,09,000 to Rs. 1,50,04,500 by reducing face value from Rs. 10 per share to Rs. 5 per share, while maintaining 30,00,900 equity shares. The reduction aims to write off accumulated losses of Rs. 1,50,04,500 and improve the company's financial position. Special resolution was passed unanimously by shareholders representing 99.59% of paid-up capital. The tribunal noted no pending proceedings against the company and that reduction does not involve cash outflow or change in shareholding structure. Company must publish the order in national and Gujarati newspapers within 14 days and pay Rs. 10,000 as costs to Regional Director.
